Overview

Leanne has extensive experience advising buyers and sellers on public and private M&A transactions, including distressed acquisitions, reorganizations, plans of arrangement, reverse takeovers, amalgamations, strategic investments, joint ventures and asset and share purchase transactions. She regularly works with private equity sponsors, private companies and investors on acquisitions, divestitures, growth investments and portfolio matters, helping achieve strategic and operational synergies.

Her practice also includes a broad corporate commercial and solicitor-side focus, advising clients on corporate governance, strategic partnerships and complex commercial arrangements across a variety of industries, including mining, construction, infrastructure, engineering, energy, manufacturing, forestry, oilfield services and technology. Clients rely on Leanne’s ability to draft, negotiate and oversee sophisticated commercial agreements, including limited partnership agreements, joint venture arrangements and unanimous shareholder agreements. She also advises on Indigenous equity participation and joint ventures between industry and Indigenous communities, with a strong focus on economic reconciliation and long-term partnerships.

Leanne brings significant experience advising clients in the mining and natural resources sector, acting for producers, developers and investors on M&A transactions, long-term supply agreements, streaming and refinery arrangements, marketing agreements, option agreements and joint ventures involving precious metals, critical minerals, and base and industrial metals projects in Canada and internationally. 

In her construction and infrastructure practice, Leanne advises owners, contractors, consultants and subcontractors on large-scale construction contracts including all forms of EPC, EPCM and CCDC contracts, procurement models and strategies, risk allocation and bespoke contracting frameworks in the energy, infrastructure and industrial sectors. 

Leanne is a dedicated supporter of organizations in the Edmonton area, currently serving as a member of the Concordia University of Edmonton Business Advisory Council and on the board of the Edmonton Community Foundation. Previously, Leanne served on the board of the Women Building Futures Society, the Edmonton Symphony Society and the Francis Winspear Centre for Music, as well as secretary to the Edmonton Oilers Community Foundation. She also served as a member of the Queen's Law Alberta Alumni Council.
